Dear Fellow SWX Stockholders:

The incumbent SWX directors are now telling you they have started a process to sell the company and they have received an “indication of interest.” Assuming this is factual, ask yourself the following question: how can shareholders trust CEO John Hester and his handpicked incumbent directors, who recently stated on several occasions that this company was not for sale, who have heretofore discouraged any bidders, and who have now done a 180 degree turn and are supposedly willing to start a sales process? Even if they do, they neglect to tell you that it will take over 1.5 years to complete the sale of a utility due to the necessary regulatory approvals. How can shareholders trust CEO John Hester and these crony directors, who have wasted $400 million of shareholder money in a desperate attempt to entrench themselves, to now conduct a “robust process” which might well displace Hester? Based on their recent actions, how can we be in any way certain that CEO John Hester and his blindly supportive board will not take an action that has the side effect of sabotaging the process?

And if they don’t intentionally sabotage the process, couldn’t their incompetence (displayed in their operational, financial, and regulatory performance) have the same effect? If this were to occur during the year and a half necessary to complete a deal, the stock could easily plummet back to the $60s (where it was trading before we came on the scene) and CEO John Hester and his cronies will then be back to business as usual. We must remember they own hardly any stock and have proved time and again that their agendas and ours are far from the same. 

If our slate of director nominees is elected, they would also continue pursuing strategic alternatives but – unlike the incumbent SWX directors (who have already committed in writing to share as little information with stockholders as possible) – our slate would do so in an open and transparent process. Our nominees will take all bona fide bidders seriously. We believe that our nominees will unquestionably run a more effective strategic review than the existing team – in part, because they will not be motivated solely by the desire to increase CEO John Hester’s bank account.

Additionally, during the year and a half sale process, our nominees will be much better stewards of capital, and we will not have the risk for one reason or the other that the process will be sabotaged.
